OVERVIEW

Welcome to TANOAK™. The terms "we", "us", "our", "TANOAK™" and "Company" refer to TANOAK™ and its operating entity, KUMUD ENTERPRISES.

TANOAK™ operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (collectively, the "Services"). TANOAK™ is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced herein, including our Privacy Policy, Refund Policy and Shipping Policy, constitute the terms governing your access to and use of the Services (collectively, the "Terms").

Your order is not considered accepted until TANOAK™ confirms acceptance of the order.

Your purchases are subject to our applicable Refund and Return Policy.

We are not responsible for delays caused by shipping carriers, customs processing, incorrect or incomplete shipping information, natural events, governmental restrictions or other circumstances beyond our reasonable control.

You are responsible for providing accurate shipping and contact information.

Where applicable, additional customs duties, import taxes, local taxes or other charges imposed by the destination country may be the responsibility of the customer.

Once products are transferred to the applicable carrier, responsibility for carrier-related delays or loss may be subject to the carrier's terms and applicable law.

The Services, including but not limited to TANOAK™ trademarks, logos, brand names, text, product descriptions, photographs, images, graphics, videos, audio, designs, layouts, product reviews and the selection and arrangement of such materials, are owned by TANOAK™, its affiliates or licensors and are protected by applicable intellectual property laws.

You may access and use the Services for your personal, non-commercial use, subject to these Terms.

You must not, without our prior written permission:

  • reproduce, copy or redistribute our content;

  • modify or create derivative works from our content;

  • commercially exploit our content;

  • publicly display or perform our content;

  • republish our content on another website or platform;

  • remove copyright, trademark or other proprietary notices; or

  • use our branding, product photographs, designs or other intellectual property in a manner that suggests an affiliation or endorsement.

TANOAK™'s names, logos, product names, designs, slogans and other brand elements are trademarks of TANOAK™, its affiliates or licensors.

All rights not expressly granted under these Terms are reserved by TANOAK™.

SECTION 7 - OPTIONAL THIRD-PARTY TOOLS AND SERVICES

We may provide access to third-party tools, applications, integrations or services as part of the Services.

Such third-party tools may include payment services, analytics services, marketing platforms, customer-support tools, shipping services, fraud-prevention services, artificial intelligence tools and other technology services.

We do not necessarily monitor or control third-party tools and services.

Third-party tools are provided subject to the applicable provider's terms and policies. Where permitted by law, TANOAK™ is not responsible for losses arising solely from your use of an independent third-party service.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

TANOAK™ is powered by Shopify, which enables us to provide the Services to you.

However, purchases made through our online store are transactions between you and TANOAK™.

Shopify provides technology and infrastructure that supports the operation of the Services but is not responsible for the products sold by TANOAK™ or the terms of transactions between you and TANOAK™.

Your use of the Services may also be subject to Shopify's terms and privacy practices.

  • image, video or design assistance;

  • analytics and business insights;

  • internal administration and workflow automation;

Where AI or automated technologies process personal data, TANOAK™ will seek to do so in accordance with applicable data protection laws, our Privacy Policy and the purposes disclosed to you.

We do not represent that all content, recommendations, responses or outputs generated or assisted by AI will always be complete, accurate or error-free. AI-assisted content may require human review and should not be treated as a guarantee, professional advice or definitive statement unless expressly confirmed by TANOAK™.

TANOAK™ does not grant users permission to use automated systems, bots, AI agents, scraping tools or similar technologies to access, crawl, copy, extract, reproduce, monitor or interact with the Services except where expressly authorised by us.

Nothing in this section permits TANOAK™ to process personal data for purposes that are prohibited by applicable law.

Where a third-party AI or technology provider processes personal data on behalf of TANOAK™, such processing may be subject to the provider's applicable contractual, privacy and security obligations.

SECTION 13 - FEEDBACK, REVIEWS AND USER CONTENT

If you submit, upload, post, email or otherwise transmit ideas, suggestions, feedback, reviews, photographs, proposals, plans or other content ("Feedback") to TANOAK™, you grant TANOAK™ a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, publish, distribute and display such Feedback for purposes connected with operating, improving and promoting our Services, subject to applicable law.

You represent and warrant that:

  1. you own or have the necessary rights to the Feedback;

  2. your Feedback does not violate the rights of another person;

  3. your Feedback is not unlawful, defamatory, abusive, obscene, fraudulent or misleading;

  4. your Feedback does not contain malware or malicious code; and

  5. your submission does not unlawfully disclose another person's personal data.

We may monitor, edit, restrict or remove Feedback where we reasonably believe it violates these Terms, applicable law or the rights of another person.

We are not obligated to maintain Feedback in confidence, pay compensation for Feedback or respond to Feedback, except where required by applicable law.

Where TANOAK™ expressly authorises an agent, such agent must:

  • not impersonate a human user;

  • not circumvent CAPTCHAs or other anti-bot measures;

  • not bypass authentication or security controls;

  • not scrape or systematically extract content without permission;

  • comply with applicable laws and these Terms; and

  • immediately cease access if requested by TANOAK™.

TANOAK™ may use technical measures to restrict or limit automated access to the Services.

SECTION 17 - TERMINATION

We may suspend or terminate your access to the Services, or any part of them, where permitted by applicable law, including where you breach these Terms or engage in conduct that may harm TANOAK™, our service providers or other users.

Termination does not affect rights or obligations that accrued before termination.

The provisions concerning intellectual property, privacy, data protection, AI and automated technologies, disclaimers, limitations of liability, indemnification, governing law and any provisions that by their nature should survive termination will continue to apply after termination.

To the fullest extent permitted by applicable law, TANOAK™ does not guarantee that information presented through the Services will always be complete, accurate, current, uninterrupted or error-free.

Nothing in these Terms excludes or limits any warranty, guarantee, consumer right or other protection that cannot lawfully be excluded or limited under applicable law.

SECTION 19 - LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, TANOAK™, its partners, directors, officers, employees, affiliates, agents, contractors, service providers and licensors will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages arising from your use of the Services or products purchased through the Services.

This may include, where permitted by law, loss of profits, revenue, savings, data, business opportunities or replacement costs.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from fraud, wilful misconduct or other liability that applicable law does not permit us to exclude.

Where applicable law provides you with mandatory consumer protections, those protections will continue to apply.

SECTION 20 - INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless TANOAK™, KUMUD ENTERPRISES, Shopify, our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from claims, losses, damages, liabilities and reasonable legal expenses arising from:

  2. your violation of applicable law;

  3. your infringement of a third party's rights; or

  4. your misuse of the Services.

This provision does not apply to the extent that the relevant claim or loss results from TANOAK™'s own unlawful conduct or liability that cannot legally be transferred to you.

If any provision of these Terms is determined to be unlawful, invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and TANOAK™ concerning your use of the Services and supersede prior agreements or communications concerning the same subject matter.

These Terms and your use of the Services shall be governed by and interpreted in accordance with the laws of India.

Subject to applicable consumer protection and other mandatory laws, courts having appropriate jurisdiction in or having jurisdiction over the location of TANOAK™'s registered/principal business operations in Uttar Pradesh, India, shall have jurisdiction over disputes arising from these Terms.

Nothing in this section prevents a consumer from exercising any mandatory legal rights or remedies available in the jurisdiction in which the consumer resides where such rights cannot lawfully be excluded.

We reserve the right to update, change or replace any part of these Terms by posting revised Terms on our website.

Where required by applicable law, we will provide appropriate notice of material changes.
